Welcome to CircEld! By accessing or using our website (the “Site”) and our mobile application (the “App”) and related services, you agree to be bound by these Terms of Use (“Terms”). Please read these Terms carefully before using our Site or App. If you do not agree to these Terms, do not use our Site or App.

1. Acceptance of Terms

These Terms constitute a binding agreement between you and CircEld (“we,” “us,” or “our”). By accessing or using our Site or App, you represent and warrant that you have the legal capacity to enter into this agreement and that you agree to be bound by these Terms. If you are using the Site or App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Use of the Site and App

You may use the Site and App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site or App for any illegal or unauthorized purpose.
  • Violate any applicable laws or regulations.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt the operation of the Site or App or the servers or networks connected to the Site or App.
  • Attempt to gain unauthorized access to any portion of the Site or App, or any other systems or networks.
  • Use any robot, spider, scraper, or other automated means to access the Site or App for any purpose without our express written permission.

You represent and warrant that you have all necessary rights to your User Content and that your User Content does not infringe the rights of any third party. The Site and App and all content included on the Site and App, including but not limited to text, graphics, logos, images, and software, are the property of HealthElence or its licensors and are protected by copyright and other intellectual property laws. You may not use any content from the Site or App without our prior written consent.

THE SITE AND APP ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE OR APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 9. Yuktha AI

This document outlines the Terms of Use for Yuktha AI services, which include the Care Managers and Companions mobile apps and the Care Ally website. These terms form a legal agreement between the user and CircEld.

9.1 Account Registration and Access

  • Accuracy: You must provide complete and accurate information when registering.
  • Security: You are responsible for all activities under your account and may not share your credentials with others.
  • Authority: If using the services for another entity, you must have the legal authority to accept these terms on their behalf.

9.2 Content and Accuracy

  • Ownership & Responsibility: You are responsible for the “Input” you provide and the “Output” received. You must ensure you have the rights to provide the input.
  • Reliability Limitations: Due to the nature of AI, outputs may not always be accurate or reflect real facts.
  • Human Review: You must evaluate all output for accuracy and appropriateness, using human review where necessary.
  • Critical Restrictions: You cannot use AI output as a sole source of truth or for high-stakes decisions (e.g., legal, medical, employment, or credit decisions).

9.3 Medical Use Disclaimer

  • Not for Diagnosis: These services are not intended for the diagnosis or treatment of any health condition.
  • Legal Compliance: Users are responsible for following all healthcare laws if using the service in a medical context.

9.4 Prohibited Usage Policies

To ensure safety and privacy, the following activities are strictly prohibited:

  • Safety: Threats, harassment, promoting self-harm, or illicit activities.
  • Privacy: Using facial recognition without consent, biometric identification in public, or profiling individuals based on traits.
  • Protection of Minors: Exploiting, sexualizing, or exposing minors to age-inappropriate content.
  • Deception: Using the service for academic dishonesty, scams, or impersonation.

9.5 Data Processing and Privacy

Yuktha AI acts as a Data Processor on behalf of the user (the Customer).

  • Confidentiality: All persons authorized to process data are bound by confidentiality.
  • Security: Yuktha AI implements technical and organizational measures to protect data.
  • Breach Notification: Yuktha AI will notify users without undue delay if a data breach occurs.
  • Data Deletion: Upon termination of the agreement, data will be returned or deleted unless legally required to be retained.
